I have someone offering me a like new NPAP with black synthetic furniture (not thumbhole) for an M&P 9 I am looking to trade off and I was wondering how I can make sure it is a gen 2.

I may not trade because I was really hoping for a rifle that uses standard AKM patterned hand guards and stocks...

The key difference is the bolt: a 1st gen will have a single-stack bolt whereas a 2nd gen will have a double-stack bolt. Also, 1st gens typically (but not always) had railed dustcovers.

If it has a side rail it is a gen 2, correct?

The 1st gen (PAP) did not have a side rail, hence the railed dustcover. I'm not 100% sure that a side rail means it's definitively a 2nd gen (NPAP) but I'm 99.9% sure that you're correct.
