Can someone smarter than me explain the advantage of these two methods of exercising stock options?

I know materially the difference, one gives shares back to the other company, the other sells shares .... to cover the option costs.

But in the end I'm netting the same number of shares.  So I don't see any advantage to one or the other approach.
