I'm trying to file my LLC online, however it isn't exactly going well. I've checked the tacked post above and it doesn't sync with the options I'm getting at the SOS office. Here are my quick questions... 1. Members or Mangers? I'd like to include my wife and daughter on the LLC so they can be in possession of my NFA items. 2. Organizers--Individual or Corporation? 3. Signatures--Individual or Entity? Where do I list the other members/officers of the LLC? Where do I list their financial contribtions and percentage of ownership? Am I over complicating this? |

I don't do them online, I actually send in a hardcopy, but in a nutshell: 1. Members 2. Individual (unless your corporation will belong to the LLC) 3. Individual (unless you used corporation in #2, a corp is an entity not a person) 4. I add as many members as needed as part of my form 5. I list contributions and percentage as an attachment (appendix) at the end of the form. |

You may want to research having an operating agreement that explains the purpose of the company and the roles that each member will have. A properly structured operating agreement will not only define ownership percentages and member duties but also what to do in the event of the "big three" (death, divorce, and members in/members out). There are legal obligations to forming a LLC in Missouri. Do your research and understand your options before you spend your filing fee. |
