Well, four years back a friend and I opened up an LLC for a business venture.

Things went south fast.... and we gave up..... so I thought.

Thought about taking the LLC over to do class 3 stuff, and having him taken off -- he basically told me to screw off, that he's been developing the business under the LLC (by the way, we're 50/50 partners in this... well, we were) for the past few years..... although I don't know if it matters, LLC was setup in AZ and he's been doing all this stuff in Cali.

I had kinda said "oh well screw it" figuring he's going to lose a lot more money on this then I am at this point.


Untill I came across the original documents that we signed......

Anyone here good with this kinda stuff? All this legaleese is greek to me...... Basically what I want to do is to see if I can get him removed from the LLC (I'm listed as "principal officer/general partner/grantor/owner/or truster", he is listed as "Statutory agent").  

Also..... i see a clause in here that states: The latest date, if any, on which the limited liability company must dissolve is December 31st 2050 --- WTF is up with that?  The wording makes it sound like there is a way to get around it?    I'd hate to have class 3 guns in the LLC name and have to give them up because of that.

sounds like a huge headache when you can fire up a new LLC in a matter of days for a coupla bucks.

too much chance for it to bite you in the ass.

The big problem is that he's the registered agent.  All paperwork will be sent to him.  Also note, that LLC's are per state.  So my WI LLC can't have a primary business presence in AZ unless I register the LLC in AZ.  It may be in your better interests to form another LLC unless you can get the registered agent changed online.

Whats the going rate now adays?  We paid $500 to have a CPA do it.




I've had fun tracking him down.  He woudln't give me his address and stuff.  All I had to do was run a "whois" on the domain he still has registered and had everything sitting there waiting for me.


I know he hasn't updated his address.... hell, he's lived in cali for a few years yet still has an AZ driver license and license plate -- he keeps everything regged at his mom's house to keep his insurance rates lower.




I wouldn't mind giving him a headache or two.... I found this form which looks like it could get him taken off as stat...... not quite sure how to kick him off as a member.

The only other issue would be, is that in the past 4 years I don't think any tax files have been filed..... he was the one in charge of that.  Granted there has been zero money into and zero out of the business.

Edit:

Idea:  Wouldn't I basically just have to download the forms from the state's web site... fill them out along the lines of what the CPA filled out...... do my annoncment article etc and call it good? (to register a new LLC)..... if that's the case I bet I could get everything done for about $75........

You may be able to do it online.  Another AZ guy asked a while back about starting a LLC, and had a link to teh page.
