I have a bad motherboard in a box that runs  a system.  The software license we own is tied to the MAC address of the NIC that is built into the motherboard.  Is it worthwhile to replace the motherboard and attempt to spoof the MAC, or is this a complete waste of time?

It depends entirely upon where the software checks. If the software is on an external server and checks your machine as it logs in by doing a network lookup, that should work. However if the software is on the machine itself, sort of like a software-based dongle, it would probably not as the spoofing takes place on a higher level than the hardware itself.
