I 've been out of the loop for a couple of years on this stuff and have not kept up on the latest advances much.

I have a E6600 Core Duo on a ASUS P5WD H Deluxe MB. I want to upgrade to a quad core on the same MB and Intel specs say it will work with DDR2 OR DDR3 RAM.  

My question is, will my MB be ok with DDR3? or as long as the PIN count is the same and the CPU will be ok with it does it not matter? I plan on going from 2Gig Ram to 8Gig.

No... The CPU can use either but if you want DDR3 memory you need a new motherboard. Don't bother you will get little to no performance gain from DDR3 just buy some more DDR2 and keep the MB.
