What is the major differences between the Comp XL and the ML2?

Battery Life is the main difference.

The Comp XL is the older model and battery life is not as good.

The ML and ML2 are the newer models which have around 10,000 hours of battery life, IIRC.
ML is the model with night vision settings.  ML2 is the model without night vision settings.

There are some other minor differences, but batt. life is the main difference.

The XL is the older model. It has shorter battery life than the ML2 and comes with the older wire adjusment knobs/battery cap retainers. If you've found a killer deal, I would not hesitate to buy it.

I thought the M2 is the night vision version and the ML2 was not?

I never worry about it on this forum. When a thread has run its coarse on this forum, they seem to fall back  real quick.

Maybe $200-$250 tops. Any higher than that and I would look into getting a used ML2 off the EE exchange.
