I have an old Sony VAIO RX490TV computer (2001) with an ASUS MB, 1.6gig Pentium IV that I want to put back into service. It has Firewire connections both front and back, but the USB 1.1's need to be upgraded to USB 2.0. It currently is connected to an Ethernet LAN connection with digital cable ISP. It also has a board in the bottm case slot for standard dial-up modem that is not being used...

Can I replace the dial-up modem slot with a USB 2.0 server card?

only if the board were a standard interface card, and it sounds like it wasn't

if it's a standard pci modem, yes, you should. Just deinstall it and reboot.

Then shut it down and install the PCI usb card (buy.com has them really cheap)

Or if your motherboard has the extra ports on the motherboard, you don't even need to take up a PCI slot (if you have enough case bays that some dont go to a pci slot), I'll take a photo of what the dongle looks like- basically like the PCI thing except without any board, just a wire that goes to the mobo.
